Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Octio website and Services operated by Octio Technologies Inc. ("Octio," "we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction). By registering, you confirm that you meet this requirement.

2. Account Use

You are responsible for your account. Use a strong password and notify us immediately of any breach. You may not share your credentials.

3. Token Usage & Payments

Use of Octio requires purchase of tokens.

Tokens expire after 365 days; promotional tokens after 90 days.

Tokens are non-refundable, non-transferable, and not exchangeable for currency.

Pricing is subject to change. All prices exclude applicable taxes.

4. User Content (Input & Output)

You own your inputs and outputs.

You grant Octio a license to process, analyze, and improve Services using your content.

Outputs may not be unique or accurate. Use at your own risk.

5. Prohibited Uses

You may not use Octio to:

  • Create or distribute pornographic or fraudulent content
  • Infringe on IP rights or violate any law
  • Mislead, impersonate, or conduct scams
  • Upload viruses or scrape data
  • Disrupt other users or attack our infrastructure

Octio reserves the right to suspend or terminate violators.

6. Intellectual Property

Octio retains all rights to its platform, technology, and models. You may not reverse engineer, resell, or repackage our Services.

7. Third-Party Services

We use third-party services for hosting, payments, and infrastructure. Their policies may apply in addition to ours.

8. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms or pose legal risk.

9. Limitation of Liability

To the extent permitted by law, Octio is not liable for indirect, incidental, or consequential damages. Our liability is limited to the greater of $50 or the amount paid by you in the last 12 months.

10. Indemnity

You agree to indemnify Octio against claims related to your content, use of the Services, or violations of these Terms.

11. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes will be resolved in courts located in Vancouver, BC, unless subject to arbitration or limited by applicable local consumer protections.

12. Arbitration

You agree to binding individual arbitration for disputes, waiving class actions and jury trials, except where prohibited by law. You may opt out within 30 days by contacting [email protected].

13. Local Laws

Users are responsible for complying with all applicable local laws in their jurisdiction. If any part of these Terms conflicts with a mandatory local law, that local law shall prevail, but only to the extent of the conflict.

14. Changes

We may update these Terms. Continued use of Octio means you accept the changes. The effective date will always be noted at the top.
